End-User License Agreement

Definitions and Key Terms

  • Company: Refers to 2434 Holdings LLC, responsible for your information under this EULA.

  • Country: United States, where 2434 Holdings LLC is based.

Introduction

This End User License Agreement (“Agreement”) is between you (“End User,” “you,” or “your”) and 2434 Holdings LLC (“Company,” “we,” “us,” or “our”). It governs your use of our services and applications. By using the application, you affirm your authority, compliance, legal age (18+), and acceptance of this Agreement.

License

2434 Holdings LLC grants you a limited, non-exclusive, revocable license to:

  • Download, install, and use the software on one Computing Device per license.

  • Access materials provided through the software in accordance with this Agreement.

  • Use a trial version on any number of devices for fifteen (15) days.

  • Receive updates and new features for one year after license purchase.

Restrictions

You agree not to:

  • License, sell, rent, lease, distribute, transmit, or commercially exploit the application.

  • Modify, reverse engineer, or disassemble the application.

  • Remove or alter proprietary notices.

Intellectual Property

All intellectual property rights related to the software remain the exclusive property of 2434 Holdings LLC. Your use of our intellectual property rights is strictly within the terms of this Agreement.

Your Suggestions

Feedback or suggestions you provide become the exclusive property of 2434 Holdings LLC and may be used without compensation.

Modifications and Updates

We reserve the right to modify or discontinue the application without notice. Updates provided will be integral to the application and subject to this Agreement.

Third-Party Services

We assume no responsibility for third-party content, which you access entirely at your own risk.

Term and Termination

This Agreement remains effective until terminated. Either party may terminate at any time without prior notice. Upon termination, cease all use and delete copies of the application.

Indemnification

You agree to indemnify 2434 Holdings LLC against all claims related to your misuse or breach of this Agreement.

No Warranties

The application is provided "AS IS" without warranties. 2434 Holdings LLC does not guarantee uninterrupted, error-free service or compatibility with other software.

Limitation of Liability

2434 Holdings LLC’s liability is limited to the amount you paid for the application. We are not liable for indirect, incidental, or consequential damages.

Severability

If any provision is unenforceable, it will be interpreted to the maximum extent permitted by law, and remaining provisions will remain effective.

Waiver

No failure to enforce any term constitutes a waiver of rights or powers under this Agreement.

Amendments

We reserve the right to modify this Agreement. Material changes will be notified at least 30 days in advance.

Governing Law

This Agreement is governed by U.S. law. Compliance with local laws is your responsibility.

Changes to this Agreement

Continued use signifies your acceptance of updated terms. You may withdraw your acceptance within 30 days by providing written notice.

No Employment or Agency Relationship

This Agreement does not establish any relationship other than that of an end-user of the services provided.

Equitable Relief

We may seek injunctive relief for breaches that cause irreparable harm beyond monetary damages.

Geographic Restrictions

Services provided are primarily intended for use within the United States.

Limitation of Time to File Claims

Claims must be filed within one (1) year after the cause of action accrues.

Entire Agreement

This Agreement constitutes the entire understanding between you and 2434 Holdings LLC regarding the application, superseding prior agreements.
